OpenAI considers special voting rights to prevent hostile takeovers following Elon Musk's unsolicited $97.4 billion acquisition bid.
In response to an unsolicited $97.4 billion takeover bid from Elon Musk, OpenAI is considering implementing special voting rights for its non-profit board to maintain control over the organization. This is a strategic move to safeguard OpenAI's mission and prevent potential hostile takeovers.
While nothing has been confirmed yet, the proposal under discussion would grant the non-profit board enhanced voting powers. It will enable the members to override decisions by major investors and retain governance authority. This measure is particularly pertinent as OpenAI transitions from a non-profit entity to a public benefit corporation (PBC), a restructuring that could otherwise dilute the board's influence.
Elon Musk (co-founder of OpenAI who departed from the board in 2018) submitted the unsolicited cash offer to acquire OpenAI's non-profit assets. In response, OpenAI's board unanimously rejected it, with Sam Altman saying, "No thankyou, but we'll buy Twitter for $9.74 Billion if you want".
Musk has been critical of OpenAI's shift towards a for-profit model. The Tesla CEO previously expressed concerns that the AI firm diverges from the organization's original mission to benefit humanity.
