Netflix has secured an exclusive window to negotiate a buyout of Warner Bros. Discovery, though the massive deal already faces looming antitrust scrutiny.
The streaming wars are over, and Netflix just won the ultimate prize. The tech giant has defeated Paramount and Comcast in the race to buy Warner Bros. Discovery (WBD), entering exclusive deal talks after putting a massive $28-a-share offer on the table.
Netflix clinched the win with a magic offer, beating out fierce rival suitors Paramount and Comcast in a high-stakes M&A drama that culminated late Thursday.
Just two months ago, co-CEO Greg Peters publicly downplayed the value of big media mergers. Yet, faced with the opportunity to acquire the crown jewels of entertainment—HBO, the Warner Bros. film and TV studios, and the DC Universe, Netflix changed its tune.
The process was anything but smooth. The third and final round of bidding turned into a chaotic showdown. Paramount, fresh off its own merger with Skydance, made an aggressive last-minute push, reportedly firing off letters to the WBD board.
Paramount argued that it was the only bidder with a clear regulatory path, warning that a Netflix deal would be dead on arrival in Washington.
But cash wins it all! Netflix not only met the high share price but also agreed to a staggering $5 billion breakup fee, matching the protection terms Paramount had offered.

Entering exclusive talks is just the first step. The deal now faces what experts call stiff antitrust scrutiny regarding the massive consolidation of dominant streaming platforms. Paramount may still attempt a hostile appeal directly to shareholders, though Netflix's exclusivity window makes that difficult!
If the deal holds, however, it won’t just be a merger; it will be the final season of the streaming wars, and Netflix will have written the ending.
