Deal would mark OpenAI’s largest acquisition yet, expanding its footprint in AI-powered developer tools and enterprise software.

OpenAI is reportedly closing in on a major acquisition: AI coding startup Windsurf, formerly known as Codeium, could soon become part of the ChatGPT-maker’s growing empire in a deal worth around $3 billion.

The potential acquisition, first reported by Bloomberg, underscores OpenAI’s continued push to deepen its enterprise offerings and developer toolset — areas that have become increasingly competitive as tech giants race to dominate the AI infrastructure stack.

Negotiations are still underway, and while no final agreement has been reached, sources familiar with the matter told Bloomberg that an announcement could come as early as this week. OpenAI has so far declined to comment, and Windsurf hasn’t responded publicly.

Windsurf’s product — an AI-powered coding assistant — competes with tools like GitHub Copilot. It’s seen rapid adoption among developers and enterprise teams looking to streamline software development workflows. The company recently held discussions with investors, including Kleiner Perkins and General Catalyst, to raise funds at a $3 billion valuation. Its last reported funding round brought in $150 million and valued the startup at $1.25 billion.

If the deal goes through, it would mark one of OpenAI’s most significant acquisitions to date. The company, which counts Microsoft as a major backer, has been on an aggressive growth trajectory. Just this month, it reportedly raised $40 billion in fresh capital, pushing its valuation north of $300 billion.

Many industry analysts think that this would be a ‘power move’ for OpenAI — a way to entrench itself further in the developer ecosystem while keeping pace with rivals like Google and Anthropic.

It’s not OpenAI’s first foray into M&A either. In 2024, the company acquired Rockset, a search and analytics startup, as part of its strategy to beef up enterprise capabilities.

The potential Windsurf deal also reflects the growing importance of AI-assisted software development, a market that’s ballooned in both investor and corporate interest. With the backing of OpenAI’s infrastructure — and its access to frontier models — Windsurf could become a central piece of a broader developer-first strategy.
